Terms & Conditions

"Jedi Labs" ("we", "us", "our") is a creative IT studio offering web development, design, brand identity, mobile and desktop apps, content creation, video editing, social media management, SEO, and related services.

You agree to use the site lawfully and not to:

• Attempt to gain unauthorised access to any part of the site or its systems.
• Interfere with, disrupt, or overload the site.
• Copy, reproduce, or redistribute site content, code, or design without our written permission.
• Submit false, misleading, or malicious information through our forms.

Submitting a quote request does not create a contract. A binding engagement only begins once both parties sign a written proposal or Statement of Work (SOW) that spells out scope, timeline, deliverables, and fees.

Any additional work outside the agreed scope will be quoted separately as a change request before we begin.

Every project includes a revision phase once the build is delivered for review. By default, each engagement includes two (2) rounds of revisions at no extra cost. A "round" means one consolidated set of change requests, not an unlimited stream of individual tweaks.

Additional revisions beyond the included two are billed separately at the per-round rate quoted for your project. Extra rounds are scheduled and started only after the additional fee is agreed and paid, and they may extend the delivery timeline.

Revisions cover refinements to the agreed scope. New features, new pages, or changes to the agreed direction are treated as a change request and quoted separately.

Once a project enters the revision phase, refunds are no longer possible. Reaching the revision phase means the work has been produced and delivered, so all fees paid up to that point are non-refundable.

Unless the SOW says otherwise, projects require a deposit before we start, with the remaining balance invoiced at agreed milestones or on completion. Invoices are due within the payment window stated on the invoice. Late payments may result in paused work and a late fee.

All fees are exclusive of applicable taxes, which will be added where required.

Once a project is paid in full, you own the final deliverables produced specifically for you (for example, your website design and copy, your brand assets, your app UI).

We retain ownership of our pre-existing tools, code libraries, boilerplates, and know-how, and grant you a perpetual licence to use them as part of your deliverables. Third-party assets (fonts, stock imagery, plugins) remain subject to their own licences.

All content, code, and design on this website itself — including logos, copy, and imagery — is owned by Jedi Labs and protected by copyright and trademark law.

Unless we agree otherwise in writing, we may feature completed work in our portfolio, case studies, social channels, and press. If a project is confidential, please tell us before we begin.

We deliver our services with reasonable skill and care. Beyond that, the website and any deliverables are provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the site will be uninterrupted, error-free, or free from viruses or other harmful components.

To the fullest extent permitted by law, Jedi Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the site or our services. Our total liability for any claim relating to an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose.

We may recommend or integrate third-party services (hosting, analytics, payments, email, etc.). Those services are governed by their own terms and privacy policies. We are not responsible for their availability, performance, or content.

Either party may terminate an engagement in line with the terms of the signed SOW. You remain responsible for fees for work performed up to the termination date. We may suspend or terminate your access to the site at any time if you breach these Terms.

These Terms are governed by the laws of the jurisdiction in which Jedi Labs operates, which for our team spans the United States and Nigeria. Disputes will be handled in the courts of the applicable jurisdiction agreed in your SOW, or, if none is specified, the location of the Jedi Labs entity that contracted with you.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the site after changes are posted means you accept the updated Terms.
